Structuring the Business

On a daily basis we work with a multitude of legal entities, including limited liability companies, corporations, limited partnerships, limited liability partnerships, and nonprofit corporations. We prepare and negotiate operating agreements, shareholders’ agreements, and partnership agreements that go with each, and do so mindful of the various tax characteristics and options for electing out of default structures.
