We are regularly asked to provide counsel with respect to corporate governance issues, and to determine the legal and practical impact that these issues have on owners, corporate parents and subsidiaries, directors, officers, and the company itself. Structuring the Business

Structuring the business is critical to its long term success. Therefore, for both large multinational corporations and start-ups alike we help select the appropriate form of entity and jurisdiction through which a client should operate in order to maximize the client’s business goals, profit, and operational flexibility while minimizing risk, tax, and ensuring compliance with local, state, and federal laws. On a daily basis we work with a multitude of legal entities, including limited liability companies, corporations, limited partnerships, limited liability partnerships, and nonprofit corporations. We prepare and negotiate operating agreements, shareholders’ agreements, and partnership agreements that go with each, and do so mindful of the various tax characteristics and options for electing out of default structures.
