Professional Experience

Georgia Johnson is an associate in the Los Angeles office of Gibbs Giden, where she represents clients in a broad range of business and commercial matters with a particular emphasis on real estate and construction. Her practice includes negotiating and advising on business formations and reorganizations, real estate and finance transactions, purchase and sale agreements, stock incentive plans, shareholder agreements, mergers and acquisitions and corporate governance issues.

Ms. Johnson takes a pragmatic, detail-oriented approach to helping clients achieve their goals, whether guiding startups through early-stage structuring or supporting established businesses with complex transactions.

Prior to her legal career, Ms. Johnson was the Features Editor at Santa Cruz Weekly, where she reported on technology, agriculture, and environmental issues affecting the broader Bay Area.

Representative Matters

  • Led the deal team representing the borrower, a civil construction and general engineering contractor, in closing an approximately $25 million credit facility consisting of a $6 million revolving line of credit, a $5 million term loan, and the novation and replacement of a $13.8 million SOFR-based real estate loan.
  • Served as lead counsel to a specialty and general engineering contractor in the negotiation and closing of an $11.5 million sale of a division’s assets to a publicly traded company.
  • Represented the borrower in the defeasance and refinancing of a $25 million commercial mortgage-backed securities loan secured by environmentally complex real property, including covenant remediation and loan document modifications to accommodate estate planning transfers.
  •  Represented a master materials distributor as buyer and tenant in multimillion-dollar real estate acquisitions and commercial leases across the country.
  •  Represented a subsidiary of a publicly traded transportation systems designer and manufacturer in negotiating a multiyear lease of commercial office and testing space at a base rent of approximately $75,000 per month.
  •  Represented a regional general contractor in asserting mechanics lien rights against the fee and leasehold interests in the Chapter 11 bankruptcy and related foreclosure action involving a large commercial property, including negotiating lien releases and payments in excess of $4 million.
  • Served as corporate counsel to multiple clients in employee stock ownership plan (ESOP) transactions, preparing the corporate documents and agreements required to implement each ESOP.
